By accessing or using Loadmile's fleet management platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
Loadmile provides a cloud-based fleet management platform that includes dispatch management, route optimization, document processing, driver communication via Telegram, invoicing, and related features designed for trucking and logistics operations.
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By creating an account, you represent that you meet these requirements.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.
You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.
We offer a 7-day free trial of our Service. No credit card is required to start the trial. If you do not subscribe to a paid plan before the trial ends, your account will be downgraded to a limited free tier or deactivated.
Our pricing is based on the number of vehicles in your fleet. The base plan starts at $169/month for up to 10 vehicles, with tiered pricing for additional vehicles. All fees are exclusive of applicable taxes unless otherwise stated.
Subscriptions are billed monthly in advance. By providing a payment method, you authorize us to charge the applicable fees on a recurring basis. Billing adjusts automatically based on your current fleet size.
We reserve the right to change our pricing with 30 days' prior notice. Continued use of the Service after the price change constitutes your agreement to the new pricing.
Subscription fees are generally non-refundable except as required by law or as described in our Refund Policy. Please see our Refund Policy for more details.
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. You will continue to have access to the Service until the end of that period.
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice when reasonably possible.
Upon termination, your right to use the Service will cease immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted. You may request a data export before termination.

The Service, including all content, features, and functionality, is owned by Loadmile and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes.
You retain all rights to the data you upload to the Service ("Your Data"). By uploading Your Data, you grant us a license to use, store, and process Your Data solely to provide and improve the Service.
If you provide us with feedback or suggestions, we may use them without any obligation to you.
Our Service may integrate with third-party services (such as Telegram, payment processors, and load boards). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the actions or policies of third-party service providers.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or interruptions in the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGISTIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL LOGISTIO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO LOGISTIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Loadmile and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.
We take data privacy and security seriously. Our collection and use of your personal information is governed by our Privacy Policy. We implement industry-standard security measures, including encryption and secure data storage, but cannot guarantee absolute security.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.
You agree that any arbitration or proceeding shall be limited to the dispute between you and Loadmile individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Loadmile regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.
